These Terms of Service ("Terms") govern your use of KairosVector's website, products, and services. By accessing or using our services you agree to these Terms.
By using our site or services, you accept and agree to be bound by these Terms and any additional terms applicable to specific services (e.g., subscription agreements, SLAs).
KairosVector provides cybersecurity, compliance, and professional services. Specific deliverables, timelines, and fees are set out in separate agreements or proposals.
You agree not to misuse our services, attempt unauthorized access, reverse-engineer products, or use services in violation of applicable laws or third-party rights.
All intellectual property rights in our services, software, documentation, and trademarks remain with KairosVector or our licensors. Customers receive only the rights expressly granted under contract.
Both parties will treat confidential information with strict confidentiality and will not disclose it except as permitted under contract or required by law.
We provide services with reasonable skill and care. Except as explicitly stated in contract, services are provided "as is" and we disclaim all other warranties to the maximum extent permitted by law.
To the maximum extent permitted by law, KairosVector's aggregate liability for claims arising out of or relating to the services is limited to the fees paid to us under the applicable order in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
Fees and payment terms are defined in the applicable service agreement or order. Late payments may incur interest and suspension of services.
Either party may terminate for material breach if the breach remains uncured after a specified cure period in the applicable agreement. On termination, each party returns or destroys the other's confidential information, subject to legal retention requirements.
Where KairosVector processes personal data on behalf of a customer, we will act as processor under a Data Processing Agreement (DPA) that meets applicable legal requirements.
These Terms are governed by the laws specified in the applicable agreement. Disputes will be resolved first by negotiation and then by the chosen dispute resolution mechanism in the agreement (e.g., arbitration or courts).
We may update these Terms; material changes will be posted and notified. Continued use after updates constitutes acceptance.
